1. Introduction and Acceptance of Terms

Welcome to Next Right Move ("NRM," "we," "us," or "our").

Next Right Move is a business brand operated by Jerry Glenn Malig-on, an individual sole proprietor based in the Philippines. References to NRM in these Terms refer to Jerry Glenn Malig-on in connection with services offered under the Next Right Move brand.

NRM provides business strategy, strategic diagnostics, advisory services, talent matching, managed execution, and related business solutions through its website, proprietary methodologies, and digital platforms.

These Terms of Service ("Terms") govern access to and use of:

  • The NRM website at https://nrmblueprint.com.
  • Work With NRM applications and intake forms.
  • The JGM Strategic Blueprint™ diagnostic system.
  • Paid strategic diagnostic services.
  • Client, prospect, and authorized user dashboards.
  • NRM's Inner Circle talent application and profile system.
  • Digital reports, recommendations, downloadable materials, and related platform features.
  • Other online services expressly made subject to these Terms.

By affirmatively accepting these Terms when registering, submitting an application, purchasing a service, or using a feature that requires contractual acceptance, you agree to be bound by them.

Mere access to a publicly available page does not constitute consent to personal data processing or acceptance of a separate paid service agreement.

If you do not agree to these Terms, you should not register for, purchase, or use services requiring acceptance.

Certain services may be subject to separate agreements. Where an individually executed agreement conflicts with these Terms, that agreement governs the specific subject matter of the conflict, except where mandatory law provides otherwise.

Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded.

2. Eligibility and User Authority

NRM's services are primarily intended for business owners, founders, executives, authorized business representatives, independent professionals, and individuals seeking professional opportunities.

To register for or purchase NRM services, you must:

  1. Be at least 18 years old or otherwise have the legal capacity required by applicable law.
  2. Provide accurate and reasonably complete information.
  3. Have authority to act on behalf of any organization you represent.
  4. Use the services for lawful purposes.
  5. Comply with these Terms and applicable laws.

If you accept these Terms on behalf of an organization, you represent that you have authority to enter into applicable arrangements on its behalf.

NRM may request reasonable verification where necessary for security, legal compliance, or service administration.

3. Nature and Scope of NRM Services

NRM helps businesses identify what limits progress, protect existing strengths, determine strategic priorities, and establish the capabilities required for appropriate execution.

Our general operating approach is:

Diagnose → Prioritize → Match → Execute → Measure → Optimize.

Services may include strategic diagnostics, business advisory, capability assessments, execution planning, talent matching, account management, performance oversight, and ongoing operational support.

Actual deliverables depend on the service purchased or separately agreed engagement scope.

3.1 JGM Strategic Blueprint™

The JGM Strategic Blueprint™ is NRM's proprietary strategic diagnostic and decision-support methodology.

It may evaluate areas including:

  • Business objectives and operating context.
  • Offer clarity and market fit.
  • Buyer psychology and commercial decision-making.
  • Demand and acquisition performance.
  • Sales funnels and pipeline effectiveness.
  • Trust, proof, and credibility.
  • Operating capacity and delivery constraints.
  • Business complexity and strategic prioritization.
  • Revenue exposure and potential recovery opportunities.
  • Execution requirements and supporting capabilities.

The diagnostic is intended to determine which business conditions warrant attention and which existing strengths should be preserved.

A diagnostic may conclude that additional activity, investment, systems, or talent is not currently justified.

3.2 Strategic Diagnostic Layers

The JGM Strategic Blueprint™ may include the following layers.

Layer 1: Strategic Diagnosis and Prioritization

Identifies evidence-supported business constraints, evaluates growth readiness, establishes strategic priorities, and determines what should be protected, changed, or deferred.

Layer 2: Strategic Build

Develops commercial or strategic architecture only where authorized by Layer 1 findings and included within the applicable service scope.

Layer 3: Growth Operating System

Supports implementation, accountability, operating procedures, measurement, governance, and ongoing performance management where separately authorized.

Purchasing or accessing one layer does not automatically entitle a user to subsequent layers, additional services, or continuing implementation support.

3.3 Work With NRM

The Work With NRM pathway allows prospective clients to submit an application for a potential strategic and managed execution engagement.

The application process may include:

  1. Application submission.
  2. Internal review.
  3. Strategic review discussion.
  4. Commercial discussion and agreement.
  5. Client onboarding, where an engagement is approved.

There is no separate diagnostic fee required merely to submit a Work With NRM application.

Application submission does not guarantee acceptance, a strategic engagement, a talent assignment, or any particular outcome.

Any fees, deliverables, scope, duration, personnel assignments, service commitments, and payment obligations will be established through an applicable commercial agreement.

3.4 Managed Talent and Execution

NRM may identify and recommend capabilities or professionals relevant to an assessed execution requirement.

Recommendations may consider documented skills, work experience, operational requirements, available capacity, and relevant evidence.

NRM does not automatically recommend additional personnel merely because a capability is identified.

A talent recommendation does not guarantee availability, suitability for every assignment, employment, performance outcomes, or business results.

Any actual deployment is governed by the applicable Client Service Agreement and relevant talent arrangements.

4. Client Information and Responsibilities

NRM's services depend on the quality and completeness of information submitted.

Clients and authorized representatives are responsible for providing information that is accurate to the best of their knowledge, reasonably current, and lawfully obtained.

Such information may include:

  • Business objectives.
  • Financial and commercial records.
  • Revenue and sales performance.
  • Pipeline and conversion data.
  • Organizational structures.
  • Operational processes.
  • Existing resources and capabilities.
  • Business limitations.
  • Customer and market information.
  • Supporting evidence and documentation.

You acknowledge that incomplete, inaccurate, outdated, or unsupported information may affect diagnostic conclusions.

NRM may identify missing information, qualify findings, request clarification, or withhold unsupported conclusions when necessary.

Users must not submit confidential or personal information that they are not authorized to provide.

Clients remain responsible for decisions made by their organization, including whether and how recommendations are implemented.

5. AI-Assisted Analysis and Automated Processing

NRM may use artificial intelligence, software-based analytical systems, structured scoring, and automated workflows to support its services.

These technologies may assist with:

  • Organizing diagnostic information.
  • Evaluating business conditions.
  • Identifying possible constraints.
  • Developing strategic recommendations.
  • Producing diagnostic reports.
  • Analyzing commercial information.
  • Identifying execution requirements.
  • Supporting talent suitability assessments.

AI-assisted outputs may contain inaccuracies, omissions, assumptions, or interpretations that require further validation.

NRM does not represent that all automated output has been independently verified unless the applicable service expressly includes that level of review.

Human oversight may be applied according to the relevant workflow, service scope, and legal requirements.

Where automated processing involves personal information or decisions materially affecting individuals, applicable data protection requirements will govern the necessary safeguards.

NRM's AI-assisted analysis supports professional judgment and informed business decision-making. It does not replace independent verification where material business consequences are involved.

Further information regarding personal data processing is provided in our Privacy Policy:

https://nrmblueprint.com/privacy-policy

6. Strategic Recommendations and Financial Estimates

NRM may provide analyses concerning business constraints, commercial opportunities, operating performance, or potential revenue improvement.

Such outputs may include:

  • Observed revenue leakage.
  • Modeled revenue exposure.
  • Recoverable revenue opportunities.
  • Growth scenarios.
  • Potential savings.
  • Operational efficiency opportunities.
  • Capacity-based commercial limitations.

Financial calculations and scenarios may depend on client-provided data, assumptions, historical records, measurement periods, and available evidence.

All modeled revenue opportunities, recovery scenarios, financial projections, and strategic estimates are conditional assessments, not guaranteed financial outcomes.

NRM does not guarantee that a modeled opportunity has already been lost, that it can be fully recovered, or that the client will achieve a particular return.

Actual results may depend on market conditions, customer behavior, implementation quality, management decisions, resource availability, competitive pressures, and other factors.

NRM may distinguish between observed facts, client-reported information, estimates, assumptions, and matters requiring verification.

Clients should seek independent professional advice before making material financial, legal, tax, or investment decisions.

7. Pricing, Purchases, and Payments

7.1 Standalone Diagnostic

The standalone JGM Strategic Blueprint™ diagnostic is currently offered at USD $1,499, unless a different price is expressly displayed and accepted at checkout.

The price displayed at the time of purchase governs that transaction.

The specific purchased deliverables, diagnostic coverage, and available access entitlements must be described in the applicable checkout or service confirmation.

The standalone diagnostic purchase does not automatically include ongoing consulting, implementation, talent assignment, or additional strategic layers.

7.2 Payment Authorization

By completing a purchase, you authorize the applicable payment provider to process the disclosed amount using your selected payment method.

Payment processing may be subject to third-party terms and verification procedures.

Services requiring payment may remain pending until the payment has been successfully confirmed or an authorized alternative arrangement has been recorded.

7.3 Taxes and Currency

Applicable taxes and mandatory charges will be disclosed or handled in accordance with relevant laws.

Financial institutions or payment providers may impose conversion charges or transaction fees.

Any mandatory pricing disclosure requirements remain applicable.

7.4 Work With NRM Engagements

Fees for Work With NRM engagements are established separately through written commercial arrangements.

These agreements may address:

  • Engagement scope.
  • Deliverables.
  • Personnel responsibilities.
  • Payment amounts and schedules.
  • Billing conditions.
  • Service commencement.
  • Change requests.
  • Performance reviews.
  • Termination.
  • Confidentiality and liability.

Submission of a Work With NRM application does not independently establish an obligation to purchase services.

8. Cancellation, Refunds, and Non-Delivery

NRM aims to provide transparent and fair procedures for cancellations, refund requests, and service delivery concerns.

8.1 Cancellation Before Diagnostic Processing

For standalone diagnostic purchases, a customer may request cancellation before substantive diagnostic processing has commenced.

Where the request is received and verified before processing begins, NRM will provide a refund of the payment received for the cancelled service, subject to applicable law.

8.2 Cancellation After Processing Begins

Once substantive diagnostic processing has commenced, a change-of-mind cancellation request will be reviewed according to the work already performed, applicable purchase conditions, and legal requirements.

NRM does not automatically guarantee a full refund solely because a customer decides not to proceed after processing begins.

This limitation does not exclude legally required remedies.

8.3 Service Failure or Non-Delivery

Where NRM cannot provide a purchased service, materially fails to deliver agreed services, or otherwise becomes subject to an applicable legal remedy, the customer may be entitled to correction, completion, replacement, a refund, or another appropriate remedy depending on the circumstances and applicable law.

NRM will assess the issue and provide an appropriate resolution in accordance with the relevant agreement and statutory obligations.

8.4 Refund Requests

Requests may be submitted to:

admin@nrmblueprint.com

Please include the relevant transaction reference, purchasing email address, and a description of the concern.

NRM may request reasonable information necessary to verify and investigate the transaction.

Any approved refund will be processed through an appropriate available payment method, subject to applicable processing requirements and law.

8.5 Statutory Consumer Rights

Nothing in these Terms removes or limits rights and remedies available under applicable consumer protection laws, including the Philippine Internet Transactions Act, Consumer Act, or other applicable legislation.

Where mandatory law provides greater protection than these Terms, the law prevails.

8.6 Managed Engagements

Cancellation, termination, and refund provisions for separately contracted managed services are governed by the applicable Client Service Agreement, subject to mandatory law.

8.7 Additional Refund & Cancellation Information

Further information regarding cancellation eligibility, refund requests, partial refunds, payment errors, review procedures, and applicable remedies is provided in our Refund & Cancellation Policy.

Please review the policy at:

https://nrmblueprint.com/refund-policy

The Refund & Cancellation Policy supplements these Terms and must be interpreted consistently with applicable purchase conditions, Client Service Agreements, and mandatory consumer protection laws.

9. Diagnostic Fulfillment and Delivery

Diagnostic fulfillment begins according to the applicable purchase process, payment confirmation, and availability of the information necessary to perform the assessment.

NRM may require additional information or clarification where supplied records are incomplete or materially inconsistent.

Any specific delivery date or turnaround commitment must be expressly stated in the applicable service description, purchase confirmation, or written agreement.

NRM does not establish a universal guaranteed diagnostic completion deadline through these Terms.

Completed results may be made available through an authorized dashboard, downloadable document, or another communicated delivery method.

If a material technical or operational issue prevents delivery, NRM will assess the appropriate corrective action or remedy.

10. Client Accounts, Dashboards, and Access

NRM may provide account-based access to diagnostic information, engagement records, reports, tasks, documents, or other authorized resources.

Platform access may depend on:

  • The user's identity.
  • Account role.
  • Purchased services.
  • Client relationship.
  • Diagnostic status.
  • Applicable permissions.
  • Service entitlement.

Users are responsible for maintaining appropriate account security.

Users must not share credentials or grant unauthorized individuals access to restricted information.

NRM may restrict access to confidential materials based on assigned permissions and legitimate operational requirements.

10.1 Purchased Report Access

Clients may access purchased deliverables according to the access entitlement communicated in their purchase or engagement terms.

Purchase of a diagnostic does not automatically create perpetual access to the NRM platform.

NRM may modify platform technology, access methods, or service interfaces while respecting existing contractual rights.

Where access to purchased materials is scheduled to end, NRM should provide an appropriate opportunity to obtain available deliverables where legally or contractually required.

10.2 Account Closure

An account may be closed following an authorized request, termination of an applicable entitlement, or another valid ground.

Account closure does not necessarily require the immediate deletion of every associated record.

Information retention and deletion are governed by applicable law, contractual requirements, and NRM's Privacy Policy.

10.3 Security and Unauthorized Access

Users must promptly notify NRM if they reasonably suspect unauthorized account access.

NRM may restrict access where reasonably necessary to investigate misuse, protect information, or address security threats.

11. Intellectual Property

11.1 NRM Proprietary Materials

NRM retains its applicable intellectual property and contractual rights in original proprietary materials developed or lawfully owned by NRM.

These may include:

  • JGM Strategic Blueprint™ branded materials and original methodology documentation.
  • Diagnostic frameworks and assessment structures.
  • Original scoring systems and decision-support designs.
  • Strategic templates and analytical documentation.
  • Proprietary prompts and confidential analytical workflows.
  • Original platform implementations and software materials.
  • Training resources and operational documentation.
  • NRM branding, names, and original visual assets.

Rights are subject to applicable intellectual property laws, existing third-party rights, and the limitations of legal protection for particular subject matter.

These Terms do not claim exclusive ownership of general business concepts, unprotectable ideas, or third-party intellectual property.

11.2 Client Rights in Deliverables

Subject to applicable payment and contractual obligations, clients receive a non-exclusive, non-transferable license to use purchased diagnostic reports and recommendations for their own internal business purposes.

Unless separately authorized, clients may not sell, sublicense, redistribute, or commercialize protected NRM proprietary materials as a competing product or service.

Clients may apply the recommendations to their own operations.

11.3 Client-Owned Information

Clients retain their rights in their independently owned materials, business information, records, branding, and content.

Providing information to NRM does not transfer ownership of that information.

Clients authorize NRM to process and use submitted materials only as reasonably necessary for authorized services and other lawful purposes.

11.4 Custom Engagement Deliverables

Ownership and licensing terms for bespoke work produced during separately contracted engagements are governed by the applicable Client Service Agreement.

12. Confidentiality

NRM may receive confidential business information during applications, diagnostics, strategic discussions, onboarding, and managed service engagements.

Confidential information may include:

  • Non-public financial records.
  • Commercial strategies.
  • Internal business processes.
  • Customer and prospect information.
  • Operational documentation.
  • Proprietary systems.
  • Pricing and contractual information.
  • Other information reasonably understood to be confidential.

NRM will use confidential information for authorized business purposes and disclose it only where reasonably necessary, lawful, and appropriately protected.

Authorized personnel, specialists, and service providers may receive access according to legitimate operational requirements.

Confidentiality protections do not generally apply to information that is lawfully public, independently developed, received through a lawful unrestricted source, or required to be disclosed by law.

Additional confidentiality obligations may be established in a separate agreement.

These contractual confidentiality provisions operate alongside, and do not replace, applicable personal data protection requirements.

13. Privacy and Personal Data Protection

NRM processes personal information in accordance with its Privacy Policy and applicable data protection laws.

Depending on the activity, Jerry Glenn Malig-on, operating as NRM, may act as a personal information controller or personal information processor under Philippine data protection law.

NRM may also have controller or processor responsibilities under other applicable laws, depending on the circumstances.

The Privacy Policy explains:

  • What personal data may be collected.
  • Why and how it may be processed.
  • Applicable lawful bases.
  • AI-assisted processing.
  • Categories of recipients and providers.
  • Cross-border transfers.
  • Security measures.
  • Retention and deletion.
  • Individual privacy rights.
  • Privacy inquiries and complaints.

Privacy Policy: https://nrmblueprint.com/privacy-policy

Where NRM processes personal information on behalf of a client, an appropriate Data Processing Agreement or equivalent arrangement will be established where required.

Agreement to these Terms does not replace valid consent where consent is legally necessary.

Users must not submit third-party personal information without appropriate lawful authority.

14. NRM Inner Circle and Talent Participation

NRM may provide an application and assessment system for independent professionals seeking potential opportunities through its Inner Circle.

Applicants may submit professional experience, resumes, qualifications, skills, availability, and other relevant information.

NRM may evaluate applicants against legitimate business or client requirements.

Submitting an application does not guarantee:

  • Admission to the Inner Circle.
  • Employment.
  • Independent contractor engagement.
  • Client placement.
  • A minimum amount of work.
  • Compensation.
  • Future opportunities.

Any actual working relationship requires a separate appropriate agreement.

NRM may share relevant professional information with authorized client representatives where lawful and consistent with applicable privacy disclosures and permissions.

The existence of an Inner Circle profile does not independently establish an employment or contractor relationship.

Applicable labor and employment laws prevail over any contrary characterization.

15. Acceptable Use

Users must not:

  1. Attempt unauthorized access to platform systems or other accounts.
  2. Circumvent access controls or payment restrictions.
  3. Upload malicious code or disrupt platform functionality.
  4. Submit fraudulent or materially misleading information.
  5. Infringe intellectual property or confidentiality rights.
  6. Access information outside their authorized permissions.
  7. Misrepresent their identity or authority.
  8. Use the platform for unlawful purposes.
  9. Attempt to extract protected non-public system materials without authorization.
  10. Interfere with other users' lawful use of the platform.

NRM may investigate suspected misuse and take reasonable protective measures.

Enforcement remains subject to applicable law and contractual rights.

16. Platform Availability and Maintenance

NRM aims to maintain reliable digital access but cannot guarantee uninterrupted availability.

Access may be affected by:

  • Infrastructure interruptions.
  • Third-party service failures.
  • Maintenance.
  • Security incidents.
  • Software defects.
  • Network interruptions.
  • Events outside reasonable operational control.

Unless separately agreed, NRM does not provide a universal service-level availability guarantee.

Where technical failures materially prevent fulfillment of a purchased service, appropriate corrective measures or remedies will be assessed.

17. Third-Party Providers

NRM may use third-party providers for:

  • Website hosting.
  • Cloud infrastructure.
  • Authentication.
  • Payment processing.
  • Email communications.
  • AI-assisted analysis.
  • Document management.
  • Scheduling.
  • Analytics.
  • Operational integrations.

Some external services are independently operated and may have their own terms and privacy policies.

NRM will remain responsible for obligations imposed on it by applicable law and contractual arrangements, including relevant privacy and security responsibilities.

Use of an external service provider does not automatically eliminate NRM's responsibility for its own unlawful conduct or contractual breaches.

18. Business Outcomes and No Guarantee of Results

NRM provides strategic guidance, analytical services, and execution support designed to improve business decision-making and operational clarity.

NRM does not guarantee:

  • Increased revenue.
  • Higher profitability.
  • A predetermined number of customers.
  • Specific lead generation outcomes.
  • Guaranteed conversion improvements.
  • Guaranteed revenue recovery.
  • Elimination of every business constraint.
  • Success of any particular business strategy.
  • Any specific outcome from specialist deployment.

Actual results depend on factors including implementation, business conditions, decisions, market behavior, available resources, and other circumstances.

This provision does not remove responsibility for explicitly agreed deliverables, applicable professional obligations, or legally enforceable service commitments.

19. Professional Advice Disclaimer

NRM's diagnostic and strategic services are primarily intended to support business decisions.

Unless separately agreed and delivered by appropriately qualified professionals, NRM does not provide regulated legal, accounting, taxation, investment, audit, or other licensed professional services.

Clients should obtain independent professional advice before making decisions that require specialized qualifications or regulatory expertise.

20. Limitation of Liability

To the fullest extent permitted by applicable law, NRM will not be liable for losses arising solely from circumstances beyond its reasonable control or from independent client decisions for which NRM is not legally or contractually responsible.

NRM does not exclude or limit liability where such exclusion is prohibited by applicable law.

Nothing in these Terms excludes legally unavoidable liability, including liability for fraud, willful misconduct, or other conduct for which limitation is unlawful.

Any monetary liability cap applicable to a particular paid engagement must be expressly established in the relevant purchase terms or Client Service Agreement and must comply with applicable law.

Separate agreements may address responsibility for confidentiality breaches, personal data incidents, intellectual property violations, and other material risks.

21. Indemnification

To the extent permitted by applicable law, users agree to indemnify NRM for reasonable third-party losses and claims directly resulting from their unlawful conduct, infringement of third-party rights, or material breach of these Terms.

This obligation does not require users to indemnify NRM for losses caused by NRM's own unlawful conduct, negligence, or breach of its legal obligations.

Any broader indemnification requirements must be established through a separate applicable agreement.

22. Suspension and Termination

NRM may suspend or terminate access where reasonably justified, including:

  • Material violation of these Terms.
  • Fraudulent or unauthorized activity.
  • Security risks.
  • Expiry of a service entitlement.
  • Valid termination of an applicable agreement.
  • Legal or regulatory requirements.

Where appropriate, NRM may provide notice and an opportunity to resolve the issue.

Termination does not automatically eliminate accrued obligations, intellectual property rights, confidentiality duties, or applicable legal remedies.

Purchased deliverables, data export, retention, and deletion will be handled in accordance with applicable service entitlements, agreements, the Privacy Policy, and law.

23. Changes to These Terms

NRM may update these Terms when reasonably necessary to reflect changes in its services, systems, business operations, or legal requirements.

The current version will be published at:

https://nrmblueprint.com/terms-of-service

Each version will identify its effective date and last revision date.

Material changes affecting existing users will be communicated appropriately, and renewed acceptance will be obtained where legally or contractually required.

Changes will not retroactively remove existing contractual rights without a lawful basis.

Users who do not agree to applicable revised Terms may discontinue affected services, subject to existing obligations and legal rights.

24. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines, subject to mandatory laws and protections that may apply to particular transactions or users.

Users are encouraged to contact NRM to seek resolution of service-related concerns.

Where a dispute cannot be resolved informally, either party may pursue lawful remedies before a court or authority having competent jurisdiction.

Nothing in these Terms limits applicable rights to seek assistance from consumer protection authorities, data protection regulators, courts, or other competent bodies.

Separately negotiated dispute-resolution provisions may apply to specific commercial engagements where legally permissible.

25. Severability

If a provision of these Terms is determined to be invalid or unenforceable, the remaining provisions remain effective to the extent permitted by law.

Any affected provision will be interpreted or limited only to the extent required for legal enforceability.

26. Relationship With Other Agreements

These Terms govern general website and platform usage and applicable digital service transactions.

NRM may separately use:

  • Client Service Agreements.
  • Engagement scopes and commercial schedules.
  • Talent or independent contractor agreements.
  • Confidentiality agreements.
  • Data Processing Agreements.
  • Other authorized contractual documents.

Where a valid separately executed agreement expressly governs a specific issue, that agreement takes precedence for the relevant subject matter, subject to mandatory legal requirements.

The Privacy Policy governs the disclosure of NRM's personal data processing practices and should be read alongside these Terms.
